Colorado Choice of Entity Deskbook gives attorneys the information they need to advise clients in the often complex area of choosing a business entity. The book includes dozens of Colorado statutory citations as well as useful tips for the practitioner. It addresses the tax, administrative, and financial benefits and burdens of the various business forms used in Colorado, and even discusses cases when entity formation is not advisable (i.e., when the use of contracts, insurance, lenders, or independent contractors might be preferable).

The author presents an overview of the factors that come into play when selecting an entity in Colorado, and provides a detailed discussion of the Colorado Corporations and Associations Act. Then, a variety of entity types are discussed and analyzed, including general partnerships, limited partnerships, LLPs, LLLPs, corporations (including S corporations), limited liability companies, limited partnership associations, and nonprofit corporations.

Colorado Choice of Entity Deskbook gives the practitioner essential information regarding each entity type, including the structure of the business, liability of the owners, methods of raising capital, tax aspects, and reporting requirements for the Colorado Secretary of State. The book also discusses conflicts of interest that may arise when representing an entity and its owners; the legal ramifications of conversion, merger, and reinstatement of entities in Colorado; and tax issues related to compensation of owners and employees.

ALSO INCLUDES: the 2008 Supplement; a companion CD that includes the text of the book, relevant annotated Colorado statures, and forms that can be adapted for use in your practice.
